1. Agreement to Terms

These Terms & Conditions constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you” or “user”), and MatWo (“we”, “us”, or “our”), concerning your access to and use of the MatWo mobile application, the matwo.in website, and any other media form, channel, or service related thereto. By creating an account or transacting on our marketplace, you acknowledge that you have read, understood, and agreed to be bound by these terms.

2. Description of Platform Services

MatWo operates a B2B and B2C digital marketplace for building and construction materials. Our platform connects buyers (e.g. home builders, civil contractors) with suppliers (e.g. retailers, dealers, distributors, manufacturers) and logistics partners to coordinate procurement, payment, and transport. Unless explicitly stated otherwise, MatWo acts purely as a facilitator. We do not manufacture or hold inventory of the materials listed on our platform.

3. User Registration and Verification

To access and transact on the MatWo application, you must complete the registration form. You agree to:

• Provide accurate, current, and complete registration and business documentation.
• Maintain the security of your password and accept all risks of unauthorized access to your account.
• Provide active tax details (GST number) if registering as a business or merchant.
• Keep all contact details updated. We reserve the right to temporarily suspend or permanently terminate accounts that provide incomplete or unverifiable business details.

4. Orders, Pricing, and Payments

All transactions conducted through the MatWo marketplace are governed by the following pricing conditions:

• Price Quotes: Material prices, bulk discounts, and transport rates are determined by the respective suppliers and logistics partners. Prices listed include GST unless explicitly specified otherwise.
• Payment Gateway: All payments are processed through secure, RBI-authorized third-party payment gateways. You agree to pay all charges associated with your transactions.
• Credit Lines: If utilizing corporate credit facilities, payments must be settled within the agreed repayment period. Defaults will result in credit suspension and legal escalation.

5. Deliveries & Transport Liability

Logistics partners are independent contractors responsible for physical transport. MatWo facilitates delivery tracking and status diagnostics. While we work only with verified transport networks, MatWo is not liable for structural damage, loss of goods, or project delays caused by vehicle breakdowns, force majeure events, or transporter negligence.Transporter disputes will be arbitrated in accordance with the Cargo Transport Act.

6. Prohibited Activities

You may not access or use the platform for any purpose other than that for which we make it available. Prohibited activities include:

• Using the app for speculative listing, price manipulation, or merchant collusion.
• Bypassing our payment gateways to execute offline transactions with matched suppliers (disintermediation).
• Falsifying quality certifications, test reports, or supplier credentials.
• Uploading malicious code, automated bots, or scraping our product catalog and database.

7. Limitation of Liability

In no event shall MatWo, its directors, employees, or partners be liable for any direct, indirect, incidental, special, or consequential damages resulting from (i) the use or inability to use the platform, (ii) the quality, strength, or grade of materials purchased from suppliers, (iii) any delay, delivery breakdown, or theft during transit, or (iv) any service interruption. Materials are purchased at the buyer's own risk and subject to the supplier's product warranty.

8. Governing Law

These Terms and Conditions and your use of the platform are governed by and construed in accordance with the laws of India. Any legal action or dispute arising under these terms shall be subject to the exclusive jurisdiction of the courts located in Coimbatore, Tamil Nadu, India.
